プライバシーポリシー（個人情報保護方針）

株式会社ProAI（英文表記：ProAI, Inc.。以下「当社」といいます。）は、当社のウェブサイトおよびデスクトップアプリケーション「ProAI Studio」に関して、ユーザーの個人情報（個人情報の保護に関する法律（以下「個人情報保護法」といいます。）第2条第1項に定義される「個人情報」をいい、以下同様とします。）を含む利用者情報の取扱いについて、以下のとおりプライバシーポリシー（以下「本ポリシー」といいます。）を定めます。本ポリシーは、当社がどのような情報を取得し、それをどのように利用・共有するか、ユーザーがどのようにご自身の個人情報を管理できるかをご説明するものです。

用語の定義 本ポリシーにおいて、「利用者情報」とは、個人情報を含む、ユーザーに関する一切の情報を指す傘概念をいいます。「ユーザーコンテンツ」とは、ユーザーが ProAI Studio 上で作成・入力したカード本文・チャット文・添付ファイル・画像・プロジェクトファイル等をいいます。「アクセス情報」とは、外部送信に伴って送出されるIPアドレス・ユーザーエージェント・タイミング等の通信付随情報をいいます。ユーザーコンテンツおよびアクセス情報は、いずれも利用者情報の一部を構成しうるものです。

本ポリシーの適用範囲とスコープ表示について 本ポリシーは、(A) 当社が運営するウェブサイト（https://proai.co.jp 等）および当社の事業活動一般と、(B) デスクトップアプリ「ProAI Studio」（Mac App Store 等で配信）の双方を対象とします。両者は情報の取扱いが大きく異なるため、各節において、該当する適用範囲を【適用範囲】として示します。特に重要な相違として、ウェブサイトでは当社がお問い合わせ対応や分析等のために一定の情報を取得する一方、ProAI Studio アプリについては、当社（ProAI）はユーザーが作成・入力したユーザーコンテンツを収集・保存しません。この相違は矛盾ではなく、適用範囲が異なることによるものです。

2．取得する情報

2-1．ウェブサイト／会社一般（取得する個人情報）

【適用範囲：(A)】

当社は、ウェブサイトの利用、利用登録、お問い合わせ等に際して、以下の情報を取得することがあります。

• 氏名、生年月日、住所、電話番号、メールアドレス
• IPアドレス、端末情報、Cookie情報、アクセスログ
• お問い合わせフォーム・コメント送信時の氏名、電話番号、メールアドレス

2-2．ProAI Studio アプリにおける情報の取扱い（ユーザーコンテンツ）

【適用範囲：(B)】

ProAI Studio は、ユーザーのデバイス（Mac 等）上で動作するスタンドアロン型のアプリです。当社（ProAI）は、ProAI Studio の利用に関して、ユーザーコンテンツ（カード本文、チャット文、添付ファイル、画像、プロジェクトファイル等）を収集しません。また、これらを当社のサーバーに送信・蓄積することもありません。 これらのデータは、原則としてユーザーのデバイス内にのみ保存されます。

ProAI Studio に関して、ユーザーコンテンツが当社（ProAI）自身のサーバーへ送信・蓄積されることはありません。ただし、ユーザーが選択したクラウドAI等の第三者へは、ユーザーの操作により直接送信される場合があります（第6節で詳細を開示します）。当社サーバーはこれを媒介しません。アプリ利用状況の分析・テレメトリ・クラッシュレポートを当社のサーバーへ送信する機構は、アプリ本体に一切組み込んでいません（第8節参照）。

ユーザーが本アプリのクラウドAI機能・SNS連携機能・ローカルAI向けWeb検索補助機能等を利用する場合、ユーザー自身の操作（または特定キーワードの入力）を契機として、ユーザーの入力内容またはアクセス情報が当社以外の第三者（AI事業者等）へ直接送信されることがあります。これらの第三者への送信については、第6節で詳細を開示します。

3．個人情報の利用目的

3-1．ウェブサイト／会社一般

【適用範囲：(A)】

当社は、ユーザーから取得した個人情報を、以下の目的で利用します。

• ユーザーが利用しているサービスの新機能・更新情報・キャンペーン情報等をメールでご案内するため
• サービスのメンテナンス等、必要に応じたご連絡のため
• ユーザーからのコメント・お問い合わせに回答するため
• 利用規約に違反したユーザーの特定、その他不正行為の防止のため
• Google Analytics を利用したウェブサイトの利用状況の分析のため

当社は、上記目的の達成に必要な範囲を超えて個人情報を利用しません。利用目的は、変更前後で関連性があると合理的に認められる範囲に限り変更し、変更時には当社所定の方法によりユーザーに通知または公表します。

3-2．ProAI Studio アプリ

【適用範囲：(B)】

ProAI Studio に関して、当社はユーザーコンテンツを収集しないため、当社による利用目的は発生しません。ユーザーが入力した内容を第三者AIへ送信した場合の当該データの取扱目的は、送信先である各AI事業者のプライバシーポリシーに従います（第6節参照）。当社サーバーは介在しません。

4．個人情報を安全に管理するための措置

【適用範囲：総論は (A)・(B) 共通／個別措置は節内で明示】

当社は、利用者情報の取扱いについて、不正アクセス・改ざん・漏えい・滅失・毀損を防ぐため、適切な安全管理措置を講じます。

(A) 当社が保有する個人情報について：当社は、保有する個人情報を正確かつ最新の内容に保つよう努めます。また、個人情報保護に関する定期的な教育研修を、すべての従業員および役員を対象に実施しています。

(B) ProAI Studio アプリにおける技術的措置について：ユーザーがクラウドAI機能等のために設定するAPIキー等の資格情報は、Apple の安全なストレージ（safeStorage／macOS Keychain ベースの暗号化）によりユーザーのデバイス内にのみ暗号化して保存し、当社のサーバーへ送信しません。ライセンス認証は完全にオフラインで行い（端末内での暗号照合のみ）、認証情報を外部へ送信しません。

なお、ユーザーがクラウドAI機能を利用する場合、入力データは外国に所在する第三者AI事業者で処理されることがあります。当社は、当該処理が当社サーバーを介さないユーザー起点の直接送信であることを前提としつつ、安全管理措置（外的環境の把握）の一環として、送信先事業者の所在国の制度を把握し、本ポリシー第6節・第7節で必要な情報を開示します。

5．個人情報の第三者提供について

5-1．当社が保有する個人情報の第三者提供

【適用範囲：(A)】

当社は、以下の場合を除き、ユーザーの同意を得ることなく、当社が保有する個人情報を第三者に提供することはありません（本節の「保有する個人情報」とは、第2-1節で取得する情報を指し、ProAI Studio のユーザーコンテンツは含みません）。

• 法令に基づく場合
• 人の生命、身体または財産の保護のために必要な場合
• 公衆衛生の向上または児童の健全な育成のために特に必要がある場合
• 国の機関または地方公共団体の業務遂行への協力が必要な場合

当社が自社の目的のためにクラウド事業者等にデータの取扱いを委託する場合（該当する場合）は、委託先を適切に監督します。

5-2．ProAI Studio における利用者起点送信の整理

【適用範囲：(B)】

ProAI Studio のクラウドAI機能における各AI事業者への送信は、ユーザー自身が、ユーザー自身のデバイスから、ユーザー自身の判断で行う「利用者起点の送信（本人による提供）」です。 当社はその内容を当社サーバーで媒介・保存しないため、当社による第三者提供（個人情報保護法第27条）には該当しないものと整理しています（詳細は第6節）。

なお、一部の提供形態では、ユーザー自身のAPIキーではなく当社が用意したAPIキーを用いて各AI事業者へ接続する場合があります（第6-1節参照）。この場合でも、入力内容は当社サーバーを経由せずユーザーのデバイスから各AI事業者へ直接送信され、当社サーバーに保存・蓄積されません。当社による第三者提供への非該当の整理は、鍵の所有者ではなく、当社サーバーが内容を媒介・保存しないという事実に依拠しています。当社が送信を媒介する構成を採る提供形態が存在する場合には、当該形態における取扱い（委託・共同利用・越境提供等）を別途開示します。

6．第三者送信について（外部送信規律・電気通信事業法第27条の12 準拠）

【適用範囲：(B) ProAI Studio アプリ】

本節は、ProAI Studio アプリからの外部送信を対象とします。ウェブサイトにおける外部送信（Google Analytics、Cookie 等）は、第8節・第9節で別途開示します。

6-1．総論

ProAI Studio のクラウドAI機能は、ユーザーがご自身で選択・連携したクラウドAI事業者等に対してのみ、ユーザーの入力内容を送信します。クラウドAI事業者については、初期状態で全事業者に自動送信されることはありません。 ただし、後述するローカルAI利用中のWeb検索補助機能は、特定キーワードの検出を契機に外部送信が発生する場合があります。Mac App Store 版では既定で無効（設定で許可した場合のみ送信）ですが、直接配布版（DMG 等）では同意ダイアログを介さず自動的に送信が発生します（詳細は第6-4節）。 クラウドAI機能の核心的な仕組みは次のとおりです。

• BYOK（Bring Your Own Key／ユーザー自身のAPIキー）：ユーザーがご自身のAPIキーを設定した場合、入力内容（テキスト・画像・添付ファイル等）は、ユーザーのデバイスから当該AI事業者へ直接送信されます。当社（ProAI）はこの送信を中継・プロキシせず、内容を保存・蓄積しません。
• 当社が用意したキーを利用する提供形態について：提供形態によっては、当社が用意したAPIキーで各AI事業者へ接続する場合があります（法人向けの一部提供形態等）。この場合でも、入力内容は当社サーバーを経由せず、ユーザーのデバイスから各AI事業者へ直接送信され、当社サーバーに保存・蓄積されません。この点が、本ポリシーが当社による収集・保存なしと整理する論拠です。
• 送信前の同意（JIT同意）：Mac App Store 版等のストア配信版では、各AI事業者へ初めて送信する前に、送信先・送信内容・目的を明示した同意ダイアログを表示します。ユーザーが「同意して送信」を選択した場合にのみ送信が行われ、「キャンセル」を選択した場合は送信されません。同意はAI事業者ごとに個別に管理され、設定画面の「クラウドAIへの送信に同意するプロバイダ」からいつでも確認・撤回できます。
• ローカルモデルの推論は送信なし／ただしWeb検索補助は例外：オンデバイスで動作するローカルAIモデル（例：qwen3.5:9b）の推論自体は、ユーザーのデバイス内で完結し、外部へ送信されません。ただし、ローカルAI向けWeb検索補助機能（第6-4節）を利用する場合は、この限りではありません。当該機能は、Mac App Store 版では既定で無効であり、設定画面でユーザーが許可した場合にのみ外部送信が行われます（既定では送信されません）。直接配布版（DMG 等）では、従来どおり送信前の同意ダイアログがなく、トリガー検出により自動的に送信が行われます。
• 各社プライバシーポリシー準拠：送信されたデータの取扱い（保持・学習利用の有無等）は、各AI事業者のプライバシーポリシーに従います。

6-2．クラウドAI事業者への送信（ユーザー選択時）

ユーザーがクラウドAIモデルを選択して実行したとき、以下の事業者のうち選択した事業者にのみ送信が行われます。

AI事業者側でのWeb検索ツールについて：上記AI事業者のWeb検索／グラウンディング機能を有効にした場合、ユーザーの検索クエリが当該AI事業者を経由して、さらに外部のWeb検索・ページ取得に用いられることがあります。具体的には、OpenAI のWeb検索（web_search 相当のサーバーツール／Web検索対応モデル）、Anthropic の web_search、Google の Search グラウンディング、xAI の web_search／x_search のいずれを有効化した場合も同様に、検索クエリが当該AI事業者を経由してさらに外部のWeb検索結果・ページ取得に用いられます。

Gemini グラウンディング応答における引用URLの解決（Google LLC・米国）：Gemini のグラウンディングを伴う応答で引用URLを整形する際、引用元のリダイレクトURL（Google のグラウンディング基盤上の短縮リダイレクトホスト）の実URLを解決するため、当該リダイレクトホストへ自動でHEADリクエストを送信します。送信されるのはURL自体であり、入力本文ではありませんが、当該HEADリクエストに伴い、アクセス情報（IPアドレス・ユーザーエージェント）も Google 側へ送出されます。

6-3．SNS投稿連携（開発者向け配布形態でのみ有効）

SNS投稿管理サービス Publer を介したSNS連携機能は、開発者向け（dev）配布形態でのみ有効であり、一般配布版（Mac App Store 版を含む通常の配布）では無効化されており、Publer への送信は一切発生しません。 dev 配布形態において、ユーザーがこの機能を用いて投稿予約・メディアアップロード等を実行したときに限り、以下の送信が行われます。

6-4．ローカルAI向けWeb検索補助機能（ユーザーのキーワード等により自動発火）

ローカルAIモデルの利用中、ユーザーのメッセージに特定のトリガー（「検索して」「最新」「ニュース」「株価」「価格」等のキーワード、または「#web」「/web」）が含まれる場合、ローカルAIを補助するために以下の外部送信が行われることがあります。Mac App Store 版では、本機能は既定で無効であり、設定画面（「ローカルAIのWeb検索補助」）でユーザーが許可した場合にのみ送信が行われます。許可していない場合、これらの外部送信は行われません。 一方、直接配布版（DMG 等）では、従来どおり送信前の同意ダイアログがなく、上記トリガーの検出により自動的に送信が行われます。 意図しない外部送信を避けたい場合は、Mac App Store 版では本機能を無効のままにし、直接配布版では上記トリガーを含む入力をお控えください。

6-5．ローカルAIモデルのダウンロード（ユーザーが明示実行した場合）

6-6．外部ライブラリ等の読み込み（CDN／フォント等）

ProAI Studio は、起動時や特定機能の利用時に、表示・出力のための外部ライブラリ等を以下のCDN等から読み込むことがあります。これらの読み込みは、クラウドAI／SNS連携と異なり、ユーザーの個別選択を要せず自動的に発生します。送信されるのはアクセス情報（IPアドレス・ユーザーエージェント・Referer・タイミング等）であり、ユーザーコンテンツは含まれません。

6-7．アプリ内課金（Mac App Store 版）（参考記載）

以下のアプリ内課金通信は、OS（StoreKit）が担うものであり、アプリが指令する利用者情報の外部送信には当たらないため、外部送信規律（電気通信事業法第27条の12）の通知・公表義務の対象ではありませんが、透明性のため参考として記載します。

6-8．通知公表義務の対象外となる送信について

サービスの提供に真に必要な情報（OS情報・画面設定・言語設定・ブラウザ情報等で、利用者本人へ送り返される情報や利用者が依頼した通信に伴うもの）は、外部送信規律（電気通信事業法第27条の12 但書）の通知・公表義務の対象外です。前節のアプリ内課金通信（OS が担う通信）も同様に義務の対象外です。本節で開示しているのは、上記AI事業者・SNS連携・Web検索補助・モデル配信・外部ライブラリ読み込みといった、利用者情報またはアクセス情報の外部送信を伴う指令通信です。

7．国外へのデータ移転（越境移転）について

7-1．ウェブサイト／会社一般

【適用範囲：(A)】

当社は、ウェブサイトの運営にあたり、AWS等のクラウドインフラを自社利用しておらず、お問い合わせ等を通じて取得した個人情報を国外へ移転することはありません。なお、アクセス解析のために利用する Google Analytics においては、アクセスに伴う情報（IPアドレス・ユーザーエージェント等）が Google LLC（米国）へ送信されます（詳細は第9節）。

7-2．ProAI Studio アプリ（クラウドAI機能利用時）

【適用範囲：(B)】

ProAI Studio のクラウドAI機能を利用する場合、ユーザーの入力内容は、米国等の外国に所在するAI事業者（OpenAI, L.L.C.／Anthropic, PBC／Google LLC／xAI Corp. 等）へ送信され、当該国で処理されます。

この送信は、第5節・第6節のとおり、ユーザー自身がご自身のデバイスから直接行う「利用者起点の送信（本人による提供）」であり、当社サーバーがその内容を媒介・保存しないことを理由として、当社（ProAI）が個人データを外国にある第三者へ提供するもの（個人情報保護法第28条の越境提供）には原則として該当しないものと整理しています。したがって、当社については、第28条本文の本人同意やそのただし書（十分性認定国・基準適合体制）の例外の当てはめは原則として生じません。

もっとも、これらAI事業者の多くは米国に所在し、米国は個人情報保護法第28条の越境提供に関し、個人情報保護委員会が我が国と同等の水準の制度を有する外国として指定する国（現状はEUおよび英国）には含まれていません。仮に、当社が用意したキーを用いる等、当社が送信主体・媒介主体となる構成を採る提供形態においては、移転先（米国等）が当該指定国ではなく、各AI事業者が一律に基準適合体制を保証するものでもないため、原則として第28条の本人同意および越境に係る情報提供（移転先国名・当該国の制度・移転先の保護措置）が必要となります。 いずれの場合も、ユーザーがクラウドAI機能を利用する際は、ご自身の入力内容が米国等の外国で処理され、その取扱いが当該国の制度および各AI事業者のプライバシーポリシーに従うことをご理解のうえ、第6節記載の送信前同意（ストア配信版）に同意してご利用ください。送信先各国の個人情報保護制度の概要および各事業者の保護措置については、各AI事業者のプライバシーポリシー（第6節のリンク）をご確認ください。

8．アナリティクス・テレメトリ・クラッシュレポート・認証・更新チェックについて

【適用範囲：節内で個別に明示】

• ウェブサイト【(A)】：当社は、Google Analytics を利用してアクセスログを取得し、サービスの向上やマーケティングに活用しています。Cookie 等を用いた解析データの収集を望まない場合は、Google のオプトアウトページから無効化できます。ウェブサイトにおける外部送信のうち通知・公表義務の対象外となるものの考え方は、第6-8節と同様です。
• ProAI Studio アプリ【(B)】：ProAI Studio のアプリ本体には、利用状況の分析（アナリティクス）、テレメトリ、クラッシュレポートを当社または第三者へ送信する機構を一切組み込んでいません。また、アプリ内からの自動更新チェック通信も行いません（配信は各ストアまたは手動配布によります）。ライセンス認証は端末内で完結し、認証情報の外部送信は行いません。

※SNSダッシュボード機能における「投稿分析（インサイト）」は、当該SNS投稿のパフォーマンス情報を Publer から取得する機能であり、アプリ利用状況のテレメトリではありません。

9．Cookie・アクセス解析について

【適用範囲：(A) ウェブサイト】

当社のウェブサイトでは、利便性向上およびアクセス解析のために Cookie を使用することがあります。前項のとおり Google Analytics を利用しており、Cookie によるデータ収集を望まない場合は、Google のオプトアウトページまたはブラウザ設定から無効化できます。ProAI Studio アプリは、利用状況の追跡を目的とする Cookie を使用しません。

10．保有個人データの開示・訂正・削除等の請求について

【適用範囲：(A)・(B) 共通】

ユーザーは、当社が保有する個人データに関し、利用目的の通知、開示、内容の訂正・追加・削除、利用の停止・消去、第三者提供の停止を請求できます。請求方法は以下のとおりです。

• 専用Webフォームからの申請（当社ウェブサイトのお問い合わせページ：https://proai.co.jp/contact/ より）
• info@proai.co.jp 宛のメールによる申請
• 郵送による申請（特別な理由がある場合のみ）

ご請求にあたっては、ご本人または代理人であることを確認させていただく場合があります。

ProAI Studio アプリについての補足：前述のとおり、当社（ProAI）はアプリ利用に関してユーザーコンテンツを収集・保存しません。ユーザーがクラウドAIへ送信した入力データの開示・訂正・削除等については、送信先である各AI事業者へ、各社の手続に従ってご請求ください。

11．データの保存期間（保持期間）について

【適用範囲：節内で個別に明示】

• ウェブサイト／会社一般【(A)】：当社は、取得した個人情報を取得後180日間（バックアップは90日間）を目安に保管し、その後、適切な方法で削除または匿名化します。ただし、税務・会計処理や法的義務に基づき特定の個人情報を一定期間保管する必要がある場合は、当該法令に従い適切に管理します。
• ProAI Studio アプリ【(B)】：当社はアプリ利用に関してユーザーコンテンツを収集・保存しないため、当社側での保持期間は発生しません。ユーザーが作成したデータは、原則としてユーザーのデバイス内にのみ保存されます。クラウドAIへ送信した入力データの保持・削除は、各AI事業者のプライバシーポリシーに従います。なお、本アプリのコンテンツ通報機能では、通報対象の本文は保存せず、メタデータ（通報理由・内容のハッシュ値等）のみをユーザーのデバイス内に記録します。これらは当社サーバーに送信されず端末内に留まるため、当社が取り扱う保有個人データには該当しません。端末内データの削除は、アプリのデータ削除または再インストールにより可能です。

12．コンテンツモデレーション・通報について

【適用範囲：(B) ProAI Studio アプリ】

ProAI Studio は単一ユーザー向けのアプリであり、AIの出力はユーザー本人にのみ表示され、公開される共有コンテンツ（公開UGC）はありません。不適切なコンテンツへの対応として、(1) 端末内のキーワードフィルタによる非表示プレースホルダ置換、(2) 右クリックメニューからの「⚠ このコンテンツを通報」（確認後に即時非表示とし、本文を保存せずメタデータのみ記録）、(3) 各AI事業者の安全フィルタ、を提供します。コンテンツに関する通報は、アプリ内の「通報」機能からお願いします。本ポリシーおよび個人情報の取扱いに関するお問い合わせは、info@proai.co.jp までご連絡ください。

13．Apple App Store のプライバシー表示との整合について

【適用範囲：(B) ProAI Studio アプリ（Mac App Store 版）】

ProAI Studio に同梱するプライバシーマニフェスト（PrivacyInfo.xcprivacy）は、当社（開発者ProAI）によるデータ収集なし（NSPrivacyCollectedDataTypes：空）およびユーザートラッキングなし（NSPrivacyTracking：false／トラッキングドメインなし）を宣言しています。

この宣言は、当社がいずれの通信についてもユーザーコンテンツを収集・保存しないことを根拠とします。具体的には、(a) クラウドAIモデルへの入力内容の送信は同意制であり、APIキーは BYOK によりユーザーのデバイス内に暗号化保存され（Mac App Store 版はBYOKを前提とします）、当社サーバーが介在しないこと、(b) ローカルAI向けWeb検索補助（第6-4節。Mac App Store 版では既定で無効であり、ユーザーが設定で許可した場合にのみ送信されます）、ローカルAIモデル配信（第6-5節）、外部ライブラリ／フォントのCDN読み込み（第6-6節）は、いずれも当社サーバーを経由せず、当社はこれらに関してデータを収集・保存しないこと、と整合しています。

App Store Connect の「App Privacy」（プライバシー栄養ラベル）表示についても、本マニフェストおよび本ポリシーと整合させます。具体的には、第三者（AI事業者・Web検索・CDN等）へユーザー操作または特定キーワードを契機として送信される内容は、栄養ラベル上は当社が収集・保持しないデータとして整理しつつ、必要に応じて第三者パートナーへの共有として申告し、本ポリシー第6節と整合させます。とりわけ、ローカルAI向けWeb検索（第6-4節）については、Mac App Store 版で既定無効・ユーザー許可制（オプトイン）を採用しており、その点を栄養ラベルの該当カテゴリにも反映して、マニフェスト・栄養ラベル・本ポリシー本文の三者の整合を担保します。

なお、本マニフェストは、Apple が定める Required Reason API（UserDefaults・SystemBootTime・DiskSpace・FileTimestamp 等）の利用理由をアプリ仕様に基づき宣言していますが、これらは端末内動作のためのものであり、ユーザーデータの収集・送信を伴いません。

(Japanese: 株式会社ProAI; hereinafter “we,” “us,” or “the Company”) establishes this Privacy Policy (the “Policy”) regarding the handling of users’ personal information (meaning “personal information” as defined in Article 2, Paragraph 1 of Japan’s Act on the Protection of Personal Information (“APPI”); the same applies hereinafter) and other user information, in connection with the Company’s website and its desktop application “ProAI Studio.” This Policy explains what information we obtain, how we use and share it, and how users can manage their own personal information.

Definitions In this Policy, “user information” is an umbrella term for all information about a user, including personal information. “User Content” means card text, chat text, attached files, images, project files, and the like that a user creates or enters within ProAI Studio. “Access Information” means communication-incidental information sent as part of an external transmission, such as IP address, user agent, and timing. Both User Content and Access Information may constitute part of user information.

Scope of this Policy and per-section scope labels This Policy covers both (A) the Company’s website (such as https://proai.co.jp) and the Company’s business activities in general, and (B) the desktop application “ProAI Studio” (distributed via the Mac App Store and elsewhere). Because information handling differs significantly between the two, where applicable, each section indicates its [Scope]. A key distinction: while the website obtains certain information for purposes such as responding to inquiries and analytics, with respect to the ProAI Studio app, the Company (ProAI) does not collect or store User Content created or entered by users. This is not a contradiction but a consequence of differing scopes.

We may obtain the following information in connection with use of the website, user registration, and inquiries:

• Name, date of birth, address, telephone number, email address
• IP address, device information, cookie information, access logs
• Name, telephone number, and email address submitted via inquiry forms or comments

2-2. Handling of information in the ProAI Studio app (User Content)

[Scope: (B)]

ProAI Studio is a standalone application that runs on the user’s device (such as a Mac). The Company (ProAI) does not collect User Content (card text, chat text, attached files, images, project files, etc.) in connection with the use of ProAI Studio. Nor do we transmit or accumulate such content on our servers. This data is, in principle, stored only on the user’s device.

With respect to ProAI Studio, User Content is not transmitted to or accumulated on the Company’s (ProAI’s) own servers. However, it may be transmitted directly, through the user’s own action, to third parties the user has selected, such as cloud AI providers (disclosed in detail in Section 6). Our servers do not mediate this. We have not embedded any mechanism in the app itself for transmitting usage analytics, telemetry, or crash reports to our servers (see Section 8).

When a user uses the app’s cloud AI features, social media integration, local-AI web search assistance, or similar functions, the user’s input or Access Information may, prompted by the user’s own action (or by entering certain keywords), be transmitted directly to third parties other than the Company (such as AI providers). Such transmissions to third parties are disclosed in detail in Section 6.

3. Purposes of Use of Personal Information

3-1. Website / Company general

[Scope: (A)]

We use personal information obtained from users for the following purposes:

• To provide information by email about new features, updates, and campaigns for the services the user uses
• To make necessary contact, such as service maintenance notices
• To respond to users’ comments and inquiries
• To identify users who violate the Terms of Use and to prevent other improper conduct
• To analyze website usage via Google Analytics

We do not use personal information beyond the scope necessary to achieve the above purposes. We will only change the purpose of use to the extent reasonably deemed to have relevance to the pre-change purpose, and will notify the user of, or publicly announce, such change.

3-2. ProAI Studio app

[Scope: (B)]

With respect to ProAI Studio, because the Company does not collect User Content, no purpose of use by the Company arises. Where a user transmits their input to a third-party AI, the purposes for which that data is handled are governed by the privacy policy of each AI provider (see Section 6). Our servers are not involved.

4. Measures for the Secure Management of Personal Information

[Scope: general statement common to (A) and (B); individual measures indicated within the section]

We implement appropriate security control measures regarding the handling of user information to prevent unauthorized access, alteration, leakage, loss, or damage.

(A) Regarding personal information held by the Company: We strive to keep the personal information we hold accurate and up to date. We also conduct periodic education and training on personal information protection for all employees and officers.

(B) Technical measures in the ProAI Studio app: Credentials such as API keys that a user configures for cloud AI features are encrypted and stored only on the user’s device using Apple’s secure storage (safeStorage / macOS Keychain-based encryption), and are not transmitted to our servers. License authentication is performed entirely offline (cryptographic verification on the device only), and authentication information is not transmitted externally.

Where a user uses cloud AI features, input data may be processed by third-party AI providers located outside Japan. On the premise that such processing is a direct, user-initiated transmission that does not pass through our servers, we nonetheless, as part of our security control measures (assessment of the external environment), ascertain the legal regime of the country where the recipient is located and disclose the necessary information in Sections 6 and 7 of this Policy.

5. Provision of Personal Information to Third Parties

5-1. Provision of personal information held by the Company

[Scope: (A)]

Except in the following cases, we will not provide personal information that we hold to third parties without the user’s consent (the “personal information we hold” in this section refers to the information obtained under Section 2-1 and does not include User Content of ProAI Studio):

• Where required by law
• Where necessary to protect the life, body, or property of a person
• Where particularly necessary to improve public health or promote the sound development of children
• Where cooperation with the operations of a national agency or local government is necessary

Where the Company entrusts the handling of data to a cloud provider for the Company’s own purposes (if applicable), we appropriately supervise such entrustees.

5-2. Treatment of user-initiated transmissions in ProAI Studio

[Scope: (B)]

Transmission to each AI provider under ProAI Studio’s cloud AI features is a “user-initiated transmission (provision by the individual),” carried out by the user themselves, from the user’s own device, at the user’s own discretion. Because we neither mediate nor store the content on our servers, we treat this as not constituting a provision to a third party by the Company under Article 27 of the APPI (see Section 6 for details).

In certain distribution forms, connection to an AI provider may be made using an API key prepared by the Company rather than the user’s own API key (see Section 6-1). Even in such cases, the input is transmitted directly from the user’s device to each AI provider without passing through our servers, and is not stored or accumulated on our servers. Our treatment of this as not constituting a provision to a third party by the Company relies not on who owns the key, but on the fact that our servers neither mediate nor store the content. Should there be any distribution form in which the Company mediates the transmission, the handling under that form (entrustment, joint use, cross-border transfer, etc.) will be disclosed separately.

6. Transmission to Third Parties (External Transmission Rules — pursuant to Article 27-12 of the Telecommunications Business Act)

[Scope: (B) ProAI Studio app]

This section concerns external transmissions from the ProAI Studio app. External transmissions on the website (Google Analytics, cookies, etc.) are disclosed separately in Sections 8 and 9.

6-1. General

ProAI Studio’s cloud AI features transmit a user’s input only to the cloud AI providers and other parties that the user has selected and connected themselves. As for cloud AI providers, no automatic transmission to all providers occurs by default. However, the local-AI web search assistance feature described below may cause external transmission upon detection of certain keywords. In the Mac App Store version it is disabled by default (transmission occurs only if allowed in Settings), whereas in directly distributed versions (e.g., DMG) the transmission occurs automatically without going through a consent dialog (see Section 6-4 for details). The core mechanism of the cloud AI features is as follows:

• BYOK (Bring Your Own Key): Where a user configures their own API key, the input (text, images, attached files, etc.) is transmitted directly from the user’s device to the relevant AI provider. The Company (ProAI) does not relay or proxy this transmission and does not store or accumulate the content.
• Distribution forms that use a key prepared by the Company: Depending on the distribution form, connection to each AI provider may be made using an API key prepared by the Company (such as certain enterprise distribution forms). Even in such cases, the input is transmitted directly from the user’s device to each AI provider without passing through our servers, and is not stored or accumulated on our servers. This is the basis on which this Policy treats the matter as involving no collection or storage by the Company.
• Consent before transmission (just-in-time consent): In store-distributed versions such as the Mac App Store version, a consent dialog stating the recipient, the data sent, and the purpose is displayed before the first transmission to each AI provider. Transmission occurs only if the user selects “Agree and send”; if the user selects “Cancel,” no transmission occurs. Consent is managed separately for each AI provider and can be reviewed or withdrawn at any time via “Providers you consent to send to” in Settings.
• Local model inference is not transmitted / web search assistance is an exception: Inference by an on-device local AI model (e.g., qwen3.5:9b) is itself completed on the user’s device and is not transmitted externally. However, this does not apply when using the local-AI web search assistance feature (Section 6-4). In the Mac App Store version, that feature is disabled by default and transmits externally only if the user allows it in Settings (nothing is sent by default). In directly distributed versions (e.g., DMG), as before, it has no consent dialog before transmission and fires automatically upon detection of the triggers.
• Compliance with each provider’s privacy policy: The handling of transmitted data (including retention and whether it is used for training) is governed by each AI provider’s privacy policy.

6-2. Transmission to Cloud AI Providers (upon user selection)

When a user selects and runs a cloud AI model, transmission occurs only to the provider the user has selected, among the following:

Provider-side web search tools: If you enable a web search / grounding feature of the above AI providers, your search query may be used, via that AI provider, for further external web searches and page retrieval. Specifically, whether you enable OpenAI’s web search (a web_search-equivalent server tool / web-search-enabled models), Anthropic’s web_search, Google’s Search grounding, or xAI’s web_search / x_search, in each case your search query is, via that AI provider, used for further external web search results and page retrieval.

Resolution of citation URLs in grounded Gemini responses (Google LLC, USA): When formatting citation URLs in a grounded Gemini response, the app automatically sends a HEAD request to the relevant redirect host (a short-lived redirect host on Google’s grounding infrastructure) to resolve the actual URL behind the redirect URL. What is sent is the URL itself, not the input body; however, Access Information (IP address, user agent) is also sent to Google as part of that HEAD request.

6-3. Social Media Posting Integration (enabled only in the developer distribution form)

The social media integration feature via the social media post management service Publer is enabled only in the developer (dev) distribution form, and is disabled in general distribution versions (ordinary distribution, including the Mac App Store version); no transmission to Publer occurs whatsoever. Only when, in the dev distribution form, a user uses this feature to schedule posts, upload media, etc., does the following transmission occur:

6-4. Web Search Assistance for Local AI (auto-triggered by user keywords, etc.)

While using a local AI model, if the user’s message contains certain triggers (keywords such as “search,” “latest,” “news,” “stock price,” “price,” or “#web” / “/web”), the following external transmission may occur to assist the local AI. In the Mac App Store version, this feature is disabled by default and transmits only if the user allows it in Settings (“Local AI web search assist”); if it is not allowed, none of these external transmissions occur. By contrast, in directly distributed versions (e.g., DMG), as before, there is no consent dialog before transmission and it fires automatically upon detection of the above triggers. To avoid unintended external transmission, leave this feature disabled in the Mac App Store version, or refrain from including the above triggers in your input in directly distributed versions.

6-5. Download of Local AI Models (when explicitly executed by the user)

6-6. Loading of External Libraries, Fonts, etc. (CDN, etc.)

ProAI Studio may, at startup or when using certain features, load external libraries for display and output from the following CDNs and others. Unlike cloud AI / social media integration, these loadings occur automatically without requiring the user’s individual selection. What is sent is Access Information (IP address, user agent, Referer, timing, etc.) and does not include User Content.

6-7. In-App Purchase (Mac App Store version) (reference disclosure)

The following in-app purchase communication is handled by the OS (StoreKit) and does not constitute an external transmission of user information commanded by the app; it is therefore not subject to the notice/disclosure obligation under the external transmission rules (Article 27-12 of the Telecommunications Business Act), but is provided as reference for transparency.

6-8. Transmissions Exempt from the Notice/Disclosure Obligation

Information truly necessary for providing the service (OS information, screen settings, language settings, browser information, etc., that is sent back to the user or accompanies a communication the user requested) is exempt from the notice/disclosure obligation under the external transmission rules (the proviso to Article 27-12 of the Telecommunications Business Act). The in-app purchase communication in the preceding section (communication handled by the OS) is likewise exempt. What is disclosed in this section are command communications involving external transmission of user information or Access Information, namely those to the above AI providers, social media integration, web search assistance, model distribution, and external library loading.

7. Cross-Border Data Transfers

7-1. Website / Company general

[Scope: (A)]

In operating our website, we do not use cloud infrastructure such as AWS on our own account, and we do not transfer personal information obtained through inquiries and the like outside Japan. Note that with Google Analytics, which we use for access analytics, information associated with access (such as IP address and user agent) is transmitted to Google LLC (USA) (see Section 9 for details).

7-2. ProAI Studio app (when using cloud AI features)

[Scope: (B)]

When using ProAI Studio’s cloud AI features, the user’s input is transmitted to AI providers located outside Japan, such as in the United States (OpenAI, L.L.C. / Anthropic, PBC / Google LLC / xAI Corp.), and processed in that country.

As stated in Sections 5 and 6, this transmission is a “user-initiated transmission (provision by the individual),” carried out directly by the user from their own device, and because our servers neither mediate nor store the content, we treat it as, in principle, not constituting a provision of personal data by the Company (ProAI) to a third party located outside Japan (a cross-border transfer under Article 28 of the APPI). Accordingly, for the Company, the application of the consent requirement under the main clause of Article 28, or of the exceptions under its proviso (an adequacy-recognized country / a system conforming to the standards), does not, in principle, arise.

Nevertheless, many of these AI providers are located in the United States, which is not among the foreign countries that the Personal Information Protection Commission designates, with respect to cross-border transfers under Article 28 of the APPI, as having established a personal information protection system of standards equivalent to those in Japan (currently the EU and the United Kingdom). Should a distribution form adopt a configuration in which the Company becomes the transmitting/mediating party — such as where a key prepared by the Company is used — then, because the destination (such as the United States) is not such a designated country and each AI provider does not uniformly guarantee a system conforming to the standards, in principle the individual’s consent under Article 28 and the provision of cross-border information (the name of the destination country, that country’s regime, and the recipient’s protective measures) would be required. In any case, when using cloud AI features, please understand that your input will be processed in a foreign country such as the United States and that its handling will be governed by that country’s regime and each AI provider’s privacy policy, and use the features after agreeing to the pre-transmission consent (in store-distributed versions) described in Section 6. For an overview of the personal information protection regimes of the recipient countries and the protective measures of each provider, please refer to each AI provider’s privacy policy (links in Section 6).

8. Analytics, Telemetry, Crash Reports, Authentication, and Update Checks

[Scope: indicated individually within the section]

• Website [(A)]: We use Google Analytics to obtain access logs and to improve our services and for marketing. If you do not wish to allow data collection via cookies and the like, you can disable it via Google’s opt-out page. The approach to which website external transmissions fall outside the notice/disclosure obligation is the same as in Section 6-8.
• ProAI Studio app [(B)]: The ProAI Studio app itself contains no mechanism whatsoever for transmitting usage analytics, telemetry, or crash reports to the Company or to third parties. The app also performs no automatic update-check communication (distribution is via the respective stores or manual distribution). License authentication is completed on the device, and authentication information is not transmitted externally.

Note: The “post analytics (insights)” feature in the social media dashboard retrieves performance information about the relevant social media posts from Publer; it is not telemetry about app usage.

9. Cookies and Access Analytics

[Scope: (A) Website]

Our website may use cookies to improve convenience and for access analytics. As noted above, we use Google Analytics; if you do not wish to allow data collection via cookies, you can disable it via Google’s opt-out page or your browser settings. The ProAI Studio app does not use cookies for the purpose of tracking usage.

10. Requests for Disclosure, Correction, Deletion, etc. of Retained Personal Data

[Scope: (A) and (B) — common]

With respect to retained personal data held by the Company, users may request notification of the purpose of use, disclosure, correction/addition/deletion of content, suspension of use/erasure, and suspension of provision to third parties. The request methods are as follows:

• Application via the dedicated web form (from the inquiry page on our website: https://proai.co.jp/contact/)
• Application by email to info@proai.co.jp
• Application by postal mail (only where there is a special reason)

When making a request, we may verify that you are the individual or an authorized agent.

Note regarding the ProAI Studio app: As stated above, the Company (ProAI) does not collect or store User Content in connection with app use. For disclosure, correction, deletion, etc. of input data that a user transmitted to a cloud AI, please make the request to the relevant AI provider in accordance with that provider’s procedures.

11. Data Retention Periods

[Scope: indicated individually within the section]

• Website / Company general [(A)]: We retain personal information obtained for approximately 180 days (backups for approximately 90 days), after which we delete or anonymize it by appropriate methods. Where we need to retain specific personal information for a certain period based on tax/accounting processing or legal obligations, we will manage it appropriately in accordance with the relevant laws.
• ProAI Studio app [(B)]: Because the Company does not collect or store User Content in connection with app use, no retention period arises on our side. Data created by users is, in principle, stored only on the user’s device. Retention and deletion of input data transmitted to cloud AI are governed by each AI provider’s privacy policy. Note that the app’s content reporting feature does not store the body of the reported content; it records only metadata (such as the report reason and a hash of the content) on the user’s device. Because such metadata is not transmitted to our servers and remains on the device, it does not constitute retained personal data handled by the Company. Deletion of on-device data is possible by deleting the app’s data or reinstalling.

12. Content Moderation and Reporting

[Scope: (B) ProAI Studio app]

ProAI Studio is a single-user application; AI output is displayed only to the user themselves, and there is no publicly shared content (public UGC). For handling inappropriate content, we provide: (1) replacement with a hidden placeholder by an on-device keyword filter; (2) “⚠ Report this content” from the right-click menu (which immediately hides the content after confirmation and records only metadata without storing the body); and (3) the safety filters of each AI provider. Content-related reports can be made from the in-app reporting function. For inquiries regarding this Policy or the handling of personal information, please contact info@proai.co.jp.

13. Consistency with Apple App Store Privacy Disclosures

[Scope: (B) ProAI Studio app (Mac App Store version)]

The privacy manifest (PrivacyInfo.xcprivacy) bundled with ProAI Studio declares no data collection by the Company (developer ProAI) (NSPrivacyCollectedDataTypes: empty) and no user tracking (NSPrivacyTracking: false / no tracking domains).

This declaration rests on the fact that the Company collects and stores no User Content with respect to any communication. Specifically, it is consistent with the following: (a) transmission of input to cloud AI models is on a consent basis, API keys are stored encrypted on the user’s device via BYOK (the Mac App Store version assumes BYOK), and our servers are not involved; and (b) local-AI web search assistance (Section 6-4; in the Mac App Store version it is disabled by default and transmits only if the user allows it in Settings), local AI model distribution (Section 6-5), and CDN loading of external libraries/fonts (Section 6-6) do not pass through our servers, and the Company neither collects nor stores data with respect to them.

We also keep the “App Privacy” (privacy nutrition label) disclosures in App Store Connect consistent with this manifest and this Policy. Specifically, content transmitted to third parties (AI providers, web search, CDNs, etc.) prompted by a user action or by certain keywords is, on the nutrition label, treated as data we do not collect or retain, while being declared as sharing with third-party partners where necessary, kept consistent with Section 6 of this Policy. In particular, for local-AI web search (Section 6-4), the Mac App Store version adopts a default-off, user-opt-in model, and that point is reflected in the relevant category of the nutrition label, ensuring consistency among the manifest, the nutrition label, and the body of this Policy.

Note that this manifest declares the reasons for using Apple’s designated Required Reason APIs (UserDefaults, SystemBootTime, DiskSpace, FileTimestamp, etc.) based on the app’s specifications; these are for on-device operation and do not involve the collection or transmission of user data.
